In Vietnam, leasing land directly by the state is a common option for acquiring the Land Use Right (LUR). This means that as a “land user” (người sử dụng đất), one must sign a lease (LLA) with the state which obliges him to pay a land lease. Depending on the choice of the land user, the rent of the land can be paid on a flat-rate basis for the entire duration or per year. In the first case, the law authorizes the land user (Assignor) to transfer his LUR to another entity (Assignee), in particular by the sale or contribution of capital in the form of LUR (usually assignment). In the meantime, the law does not specify whether the transferee should sign a new LLA with the state because of the assignment of LUR.
